In these Terms, references to "you", "user" shall mean the user/customer using the Site or receiving any of the Services offered and provided thereon by us and "we", "us" and "our" shall mean "One Dollar Code" referred to as "ODC", an organisation operating from Delhi, India ("One Dollar Code").
By using the Site and/or any of our Services, you agree to be bound by these Terms. ODC may revise these Terms at any time by posting an updated version to this Web page. You should visit this page periodically to review the most current Terms. They give you and us certain rights and obligations.
We are a global business providing online services/job boards that help job seekers with a variety of services supporting and related to their job search, interest in remote and flexible jobs, and help employers with services like attracting, recruiting, hiring, and managing people interested in remote and other kinds of flexible work (collectively the "Services").
You must be 18 years of age or older, or the age of majority as that is defined in your jurisdiction, whichever is older, to visit or use the Site and/or Services in any manner. By visiting and continuing to use the Site and/or Services, you represent and warrant to us that you have reached the age of majority in your jurisdiction and that you have the right, authority, and capacity to agree to and abide by these Terms. You also represent and warrant to us that you will use the Site and/or the Services in a manner consistent with any and all applicable laws and regulations.
Whether you are a job seeker, an employer, or just passing through, we expect you to abide by a high standard of professional and acceptable behaviour. You must also comply with applicable law, including local, state, and federal employment and discrimination laws. Job Seekers agree to use all resources on the Site solely for personal, individual, non-commercial use and agree not to share, sell, distribute or disclose to any third party or on any other website any of the Site’s content, which includes job listings.
Employers interested in and requesting to use any of our Services must be legitimate, have a well-established and positive reputation, and be hiring for jobs that offer some kind of work flexibility (remote options, freelance schedule, part-time, alternative, or flexible schedule). An Employer that does not satisfy our guidelines, particularly if there is questionable or scam-related behaviour, will not be (or continue to be) approved to use our Services. Employers are explicitly prohibited from soliciting potentially invasive personal or financial information from candidates in the database as part of the job application/advertisement process, such as social security, credit card, or bank account numbers.
Where you sign up to any feature of, or use, the Site and/or any of the Services that requires the use of a log-in account or password, you agree that you shall be responsible for keeping those password and log-in details confidential and secure. If you become aware, or suspect for any reason, that the security of your log-in details has been compromised, please let us know here as soon as you can.
Fees and Renewals
ODC charges and collects in advance for use of the Services. All Services paid for are non-refundable.
You take full responsibility for all taxes and fees of any nature associated with the Service, including any sales tax related to any purchase or sale of services or goods under the Terms. When purchasing or selling services or goods under the Terms, it is your responsibility to determine whether or not sales taxes apply to a transaction and to collect, report and remit the correct amounts to the appropriate authority.
Representations and Warranties; Responsibilities and Obligations
The contents of ODC, such as text, graphics, images, logos, button icons, software, and other ODC content, are protected under applicable copyright, trademark, and other laws. You agree not to sell or modify the ODC content or reproduce, display, publicly perform, distribute, or otherwise use the ODC content in any way for any public or commercial purpose, in connection with products or services that are not those of ODC, in any other manner that is likely to cause confusion among consumers, that disparages or discredits ODC or its licensors, that dilutes the strength of ODC' trademarks, or that otherwise infringes ODC' intellectual property rights. You further agree not to misuse in any other way any ODC content. The use of the ODC content on any other website or in a networked computer environment for any purpose is prohibited. Any code that ODC creates to generate or display any ODC content or the pages making up any ODC Site is also protected by ODC's copyright, and you may not copy or adapt such code.
Any employer may request or submit jobs to ODC, however, access to use ODC hiring and recruiting services will only be extended to those who ODC deems a good match for its platform and jobs to be posted to ODC' job database will only be accepted if deemed a high-quality likely match for its job seekers' interests. For example, priority will be given to high-quality organizations hiring for professional jobs which align well with the interests of the ODC’ candidate pool and who have a good track record in their industry.
Users may not use ODC in order to transmit, post, distribute, store, or destroy material, including without limitation, ODC content, (a) in violation of any applicable law or regulation, (b) in a manner that will infringe the copyright, trademark, trade secret, or other intellectual property rights of others or violate the privacy, publicity, or other personal rights of others, or (c) that is defamatory, obscene, threatening, abusive, or hateful.
Users are also prohibited from violating or attempting to violate the security of the Site, including without limitation, the following activities: (a) accessing data not intended for such User or logging into a server or account which the User is not authorized to access; (b) attempting to probe, scan, or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (c) attempting to interfere with service to any User, host, or network, including, without limitation, via means of submitting a virus to the Site, overloading, "flooding", "spamming", "mailbombing" or "crashing"; or (d) forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting. Violations of system or network security may result in civil and/or criminal liability. ODC will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting Users who are involved in such violations.
The profile and resume database and other features of ODC may be used only for lawful purposes by employers seeking employees or job seekers. The database may be used only for lawful purposes by individuals to network for professional purposes with other individuals.
ODC specifically prohibits any other use of ODC, and all Users agree not to do any of the following: (a) use any profile and resume database for any purpose other than as an Employer seeking employees or freelancers/job seekers; (b) post or submit to ODC any incomplete, false, or inaccurate biographical or organizational information or information which is not your own; (c) send unsolicited mail or e-mail, make unsolicited phone calls or send unsolicited faxes regarding promotions and/or advertising of products or services to a User of ODC; (d) delete or revise any material posted by any other person or entity; (e) take any action that imposes an unreasonable or disproportionately large load on the Site's infrastructure; or (f) aggregate, copy, or duplicate in any manner any of the ODC content or information available from ODC, without express written consent from ODC; or (g) post jobs or content on the Site that contain hyperlinks, "hidden" keywords, or keywords that are irrelevant to the job or are otherwise misleading.

Third Party Content
We or third parties may provide, links to other websites or resources. You acknowledge and agree that we are not responsible and liable for the availability and accuracy of such external websites or resources. We do not endorse and are not responsible or liable for any content, advertising, products or other materials on or available from such websites or resources. You are solely responsible for your use of any such websites or resources. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.
The Site may include paid advertisements. By clicking the advertisements, you may be transferred to a website of an advertiser or receive any other messages, information or offers from the advertiser and from others. We are not responsible for the privacy practices of the advertisers, or the content of their websites, information, messages or offers. You are fully accountable for all communications with the advertisers and to all transactions that take place subsequently. Each individual advertiser is solely responsible for the content of its advertising material and we accept no responsibility for the content of advertising material, including, without limitation, any error, omission or inaccuracy therein.
Use of Content and Intellectual Property Rights
We respect the intellectual property rights of others, and expect the same from you. Except as set out elsewhere in these Terms, all intellectual property rights including, but not limited to, copyright (including copyright in computer software), patents, trade-marks or business names, design rights, database rights, know-how, trade secrets and rights of confidence in the Site and/or the Services (collectively, the "Intellectual Property Rights") are owned by or licensed to ODC and belong exclusively to us and our suppliers/licensors. You acknowledge that by using the Site and/or the Services, you will not acquire any right, title or interest in or to Site and/or the Services or any Intellectual Property Rights except for the limited licence to access and use the Site and Services granted to you pursuant to these Terms.
You understand and acknowledge that you have no ownership rights in your ODC Account and that if you cancel your ODC Account, all your account information from ODC will be marked as deleted in ODC' databases and will be removed from any public area of the Site. Information may continue to be available for some period of time because of delays in propagating such deletion through ODC' web servers. In addition, third parties may retain cached copies of your information.
You are responsible for your ODC account information, Employer account information, job postings, Resume Profile, content, messages, audio, video, photos, text, images, compilations or other information that you post on ODC or transmit to other Users ("User Content"). You agree that in submitting User Content or otherwise using any ODC Site that you will not impersonate any person, or submit any materials to ODC that are false, inaccurate, misleading, unlawful, or are otherwise in violation of your obligations under these Terms.
You are responsible for maintaining the confidentiality of your account, profile, and passwords, as applicable. You may not share your password or other account access information with any other party, temporarily or permanently, and you shall be responsible for all uses of your ODC registrations and passwords, whether or not authorized by you. You agree to immediately notify ODC of any unauthorized use of your account, profile, or passwords.
When providing or forwarding information between employer and job seekers, ODC acts as a passive conduit for the online distribution and publication of User Content and has no obligation to screen User Content, communications, or information and is not responsible for screening or monitoring User Content. However, ODC may review and remove any User Content that, in its sole judgment, violates these Terms, violates applicable laws, rules, or regulations, is abusive, disruptive, offensive, or illegal, or violates the rights of, or harms, or threatens the safety of, ODC or its Users. ODC reserves the right to expel Users and prevent their further access to ODC and/or use of ODC Services for violating these Terms. ODC may take any action with respect to User Content that it deems necessary or appropriate in its sole discretion if it believes that such User Content could create liability for ODC, damage ODC' brand or public image, or cause ODC to lose (in whole or in part) the services of its ISPs or other suppliers.
We do not represent or guarantee the truthfulness, accuracy, or reliability of User Content or any other communications posted by Users or endorse an opinions expressed by Users. You acknowledge that any reliance on material posted by other Users will be at your own risk.
By submitting any comments, feedback, testimonials, or success stories you are granting ODC permission to use your comments, feedback, testimonials, or success stories (collectively "Feedback") for marketing purposes unless during the original submission you explicitly state that you do not grant that permission. ODC shall be entitled to unrestricted use of Feedback for any purpose whatsoever, commercial or otherwise, without compensation to you or any other person.
Our policy does not permit us to accept or consider creative ideas, suggestions, inventions, or materials other than those which we have specifically requested. While we do value your feedback on our services, please be specific in your comments regarding our services and do not submit creative ideas, inventions, suggestions, or materials. If despite our request, you send us creative suggestions, ideas, drawings, concepts, inventions, or other information (collectively the "Submission"), the Submission shall be the property of ODC. None of the Submission shall be subject to any obligation of confidentiality on our part, and we shall not be liable for any use or disclosure of any Submission. ODC shall own exclusively all now known or later discovered rights to the Submission and shall be entitled to unrestricted use of the Submission for any purpose whatsoever, commercial or otherwise, without compensation to you or any other person.
You agree to indemnify, defend, and hold harmless ODC , and its subsidiaries, affiliates, co-branders, all third-party advertisers, technology providers, service providers or other partners, and each of their respective officers, directors, agents, shareholders, employees and representatives (together, the "Indemnified Parties"), from and against any third party claim, demand, loss, damage, cost, or liability (including, reasonable attorneys’ fees) (collectively and individually, "Claims") incurred by or made against the Indemnified Parties in connection with any Claims arising out of or relating to the Terms, the Service, including but without limitation in relation to: (a) your use, non-use or misuse of, or connection to the Service and any content; (b) your violation or alleged violation of the Terms; and (c) your violation of any rights, including intellectual property rights, of a third party and otherwise as set out herein. ODC reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify ODC and you agree to cooperate with ODC ’s defense of these Claims. You agree not to settle any matter without the prior written consent of ODC. ODC will use reasonable efforts to notify you of any such Claims upon becoming aware of it.
Limitation of Liability and Disclaimer of Warranty
ODC DOES NOT WARRANT THAT THE SITE WILL OPERATE ERROR-FREE OR THAT ITS SERVERS ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. IF YOUR USE OF ANY ODC SITE RESULTS IN THE NEED TO SERVICE OR REPLACE YOUR EQUIPMENT OR DATA, ODC IS NOT RESPONSIBLE FOR THOSE COSTS. THE ODC SITE AND CONTENT ARE PROVIDED ON AN "AS IS" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. ODC, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ODC MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE ODC CONTENT, SERVICES, SOFTWARE, TEXT, GRAPHICS, AND LINKS.
IN NO EVENT SHALL ODC, ITS SUPPLIERS, OR ANY OTHER ODC’ AFFILIATED THIRD PARTIES BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE ANY ODC SITE AND THE ODC CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ODC IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ODC' MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH ANY ODC SITE OR YOUR USE OF THE ODC CONTENT, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE), WILL NOT EXCEED THE AMOUNT PAID, IF ANY, BY YOU TO US IN CONNECTION WITH THE SITE AND/OR ANY OF OUR SERVICES, DURING TWO MONTHS PRIOR TO THE ACTION GIVING RISE TO SUCH LIABILITY.
Term and Termination
We may in our absolute discretion immediately terminate any agreement with you under these Terms at any time upon notice to you and/or, if you have a log-in account, by cancelling your access to your account, and removing any content you have uploaded to the Site and/or Services. ODC may suspend your use of the Site and/or Services in whole or in part without notice at any time, for example to prevent you from uploading any content, without incurring any liability to you whatsoever.
The invalidity or unenforceability of any provision (in whole or part) of these Terms shall not affect the validity or enforceability of the remaining provisions (in whole or part). The whole or part of any provision which is held by a court of competent jurisdiction to be invalid or unenforceable shall be deemed deleted from these Terms.
These Terms are personal to you. You shall not be entitled to assign these Terms in whole or in part to any third party without our prior written consent.
These Terms represent the entire agreement between us and you and supersede and replace all and any previous terms, conditions, agreements and arrangements in respect of your use of the Site and/or Services.
We will act promptly to any indications of any user content that is in breach of these Terms. Where you know of or suspect any illegal activities, or know of or suspect that works belonging to you have been infringed, please contact us here.
Any failure by us to enforce any of these Terms shall not be considered to be a waiver of them or the right to subsequently enforce any of these Terms.
A person who is not a party to these Terms shall have no right to enforce any provision of these Terms.
We shall have no responsibility or liability to you under these Terms if we are prevented from or delayed in performing our obligations, or from carrying on our business, by acts, events, omissions or accidents beyond our reasonable control, including strikes, lock-outs or other industrial disputes (whether involving our workforce or that of any other party), failure of a utility service or transport or telecommunications network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers.

Nothing in the Agreement is intended to or shall operate to create a partnership between the parties, or authorise either party to act as agent for the other, and neither party shall have the authority to act in the name or on behalf of or otherwise to bind the other in any way (including the making of any representation or warranty, the assumption of any obligation or liability and the exercise of any right or power).
